3. Client Responsibilities

Make timely payments as per agreed terms
Provide necessary feedback and approvals within reasonable timeframes
Cooperate with our team throughout the project duration
Respect intellectual property rights of Asritaya Pvt. Ltd.

4. Payment Terms

Payment terms will be specified in individual project proposals and agreements. Generally:

A deposit may be required before project commencement
Milestone payments may be scheduled throughout the project
Final payment is due upon project completion and delivery
Late payments may incur additional charges as specified in the agreement

5. Intellectual Property

Unless otherwise specified in writing:

All pre-existing intellectual property remains the property of its respective owners
Upon full payment, clients receive rights to use the final deliverables as specified in the agreement
Asritaya retains the right to display completed work in our portfolio
Source code and development files remain the property of Asritaya unless specified otherwise

6. Project Timelines

Project timelines are estimates and may vary based on:

Client responsiveness and feedback timing
Project complexity and scope changes
Third-party dependencies
Unforeseen technical challenges

We will make reasonable efforts to meet agreed deadlines but cannot guarantee exact completion dates.

7. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions may incur extra charges. Scope changes during the project may require adjustments to timelines and costs.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information received from the other party. This includes business plans, technical information, and other sensitive materials.

9. Limitation of Liability

Asritaya Pvt. Ltd. shall not be liable for:

Indirect, incidental, or consequential damages
Loss of profits, revenue, or data
Damages resulting from third-party services or platforms
Issues arising from client-provided materials or information

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

Client pays for work completed up to termination date
Asritaya delivers completed work up to termination point
All confidentiality obligations remain in effect

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, internet outages, or other emergencies.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Patna, Bihar.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
